IMPORTANT NOTICE: Cilvian is a process outsourcing and service processing company. We execute processes on behalf of clients. We do NOT guarantee results, success, or outcomes. Success depends entirely on the client's business model, product quality, market position, marketing effectiveness, and operational preparedness. We simply process and execute.
These Terms of Service ("Terms") govern your use of Cilvian's services and website. By accessing or using our services, you agree to be bound by these Terms and acknowledge that you understand our role as a process execution provider only.
By accessing or using Cilvian's website, services, or communication channels, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.
Cilvian is a Process Outsourcing Provider: Cilvian provides process execution and service processing, including data extraction, business process outsourcing, cold outreach processing, social media management execution, web development implementation, and related digital service processing.
We Do Not Guarantee Results: Cilvian DOES NOT guarantee results, success, outcomes, performance metrics, revenue, leads generated, sales closed, or any specific business objectives. We only execute the processes you contract us to perform.
Quality Varies: The quality and effectiveness of our process execution may vary based on factors outside our control, including the quality of client-provided materials, market conditions, platform changes, and other external factors.
Client's Responsibility: It is the client's responsibility to ensure their business processes, products, offerings, marketing strategies, and overall business model are optimized to achieve their goals. Cilvian's role is limited to executing specific processes as instructed.
Client Owns Business Outcomes: The client is solely responsible for all business outcomes, results, and success. Cilvian's process execution does not guarantee business success.
Factors Affecting Success: Success depends on factors entirely within the client's control and responsibility, including:
- Client's product or service quality and value proposition
- Client's business model and pricing strategy
- Client's market position and competitive advantage
- Client's marketing strategy and brand positioning
- Client's sales process and conversion capabilities
- Client's customer support and fulfillment processes
- Client's operational readiness and process optimization
- Client's preparedness and timing
Process Optimization: The client must optimize their own business processes to achieve their goals. Cilvian executes processes but does not design or optimize the client's overall business strategy or operational processes unless explicitly contracted as a separate consulting service.
Information Accuracy: Clients are responsible for providing accurate, complete, and timely information required for service delivery. Inaccurate or incomplete client information may affect process quality.
Deposit Required: All projects require a deposit before work commences. The deposit amount is specified in individual project agreements. No work will begin until the deposit is received.
Milestone-Based Payment: Projects are structured on a milestone basis. Each project has defined milestones that must be completed. Payment is tied to the completion of these milestones as specified in the project agreement.
Early Termination Fee: If a client chooses to terminate a project before a milestone is completed (i.e., termination occurs between milestones), the client must pay at least 50% of the value of the incomplete milestone.
Withholding of Deliverables: Cilvian reserves the right to withhold delivery of any materials, work product, or process outputs until the termination fee (50% of the incomplete milestone) is paid in full. This policy compensates Cilvian for the time, energy, and resources invested in the work performed prior to termination.
Payment Timing: Unless otherwise stated, payments are due within the agreed-upon timeframe. Late payments may result in service delays or suspension.
Cilvian retains ownership of its proprietary methodologies, tools, and processes. Upon full payment, clients receive ownership of custom deliverables created specifically for their project.
NO GUARANTEE OF RESULTS: Cilvian DOES NOT guarantee any results, outcomes, success, performance metrics, revenue, leads, sales, or any business objectives. We only execute processes. Success is entirely dependent on the client's business, not our process execution.
Process Execution Only: Cilvian's role is strictly limited to executing processes as instructed. We do not control the quality, effectiveness, or success of those processes. Quality may vary based on numerous factors outside our control.
Results Depend on Client: Any results, success, or outcomes achieved are directly attributable to the client's:
- Product or service quality and value
- Business model and operational efficiency
- Market position and competitive advantages
- Marketing strategy and brand strength
- Sales capabilities and conversion processes
- Customer service and fulfillment quality
- Pricing and overall business strategy
- Preparedness and timing
No Automatic Success: Working with Cilvian does not automatically result in success. There is no guarantee that contracting our services will lead to improved business outcomes. The client must have effective business processes, a viable product/service, and proper market positioning to succeed.
Client Solely Responsible: The client is solely responsible for all business outcomes, including sales conversion, follow-up with prospects, customer support, pricing decisions, fulfillment, and all aspects of business operations that determine success.
Requirement Before Project Start: The client must provide all necessary materials before project commencement. Failure to provide required materials may result in project delays.
Required Materials: The client must provide:
- Scripts for outreach, sales, or communication
- Email templates and copy
- Logos and brand assets
- Branding guidelines and style guides
- Slogans and taglines
- Social media post captions
- Comment reply templates or guidelines
- Sales copy and marketing materials
- ICP (Ideal Customer Profile) and customer targeting criteria
- Media assets (images, videos, graphics)
- Onboarding information and process documentation
Both parties agree to maintain confidentiality of proprietary information shared during the course of business.
Either party may terminate the agreement with written notice. Upon termination, the client is responsible for payment for all services rendered up to the termination date.
To the maximum extent permitted by law, Cilvian shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use our services.
These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Cilvian is registered.
Cilvian reserves the right to modify these Terms at any time. Updated terms will be posted on this page with a revised "Last Updated" date.

No Responsibility for Inaccurate Information: Cilvian is not responsible for any inaccurate, incomplete, or misleading information provided by the client. The client warrants that all information provided to Cilvian is accurate and complete.
Client-Provided Materials: All materials, content, and information provided by the client remain the sole responsibility of the client. Cilvian is not liable for any claims, damages, or losses arising from client-provided materials.
For web development services, the following are not included unless explicitly stated in the project agreement:
- Web hosting services
- Domain registration or renewal
- SSL/HTTPS certificate installation and maintenance
- Third-party subscription services (e.g., CMS licenses, plugins, themes)
- Paid integrations with third-party services (unless separately purchased)
Third-Party Platform Failures: Cilvian is not responsible for service disruptions, failures, or changes caused by third-party platforms and services outside our control.
Excluded Platforms: This includes but is not limited to:
- Social media platforms (LinkedIn, Facebook, Twitter, Instagram, etc.)
- Hosting providers and server infrastructure
- Email systems and email service providers
- Advertising platforms (Google Ads, Facebook Ads, etc.)
- Third-party APIs and integration services
No Work Without Deposit: No project work will commence until the required deposit is received. The deposit amount is specified in individual project agreements.
Proof of Seriousness: The deposit serves as proof of the client's commitment to the project and reserves Cilvian's capacity for the agreed-upon timeline.
Non-Refundable: Deposits are non-refundable once work has begun. If the client cancels after work commencement, the deposit will be forfeited.
The following activities are considered billable and will be charged at the agreed hourly rate unless otherwise specified in project agreements:
- Research and data gathering
- Consulting and advisory sessions
- Meetings and calls (both internal and client-facing)
- Strategy development and planning
- Revisions and iterations
- Setup and configuration tasks
- Sourcing and vendor coordination
- Interviews and candidate screening
- Operational planning and documentation
Consultation Pricing: All consulting and advisory services are billed separately at the applicable hourly rate or as specified in consultation packages.
Hourly Advisory Rate: Advisory services outside of project scope are charged at the standard hourly advisory rate. Rates are provided upon request.
Meeting Limits: Project agreements include specified meeting allowances. Additional meetings beyond the allowance will be billed at the hourly rate unless prior arrangements are made.
No Unlimited Free Consulting: Cilvian does not provide unlimited free consulting. Strategic advice, recommendations, and problem-solving outside the defined project scope are chargeable services.
